Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2025, Raj Aji, Chief Legal Officer and Chief Compliance Officer of BILL Holdings, Inc. (the “Company”) confirmed to the Company that he will be commencing medical leave on October 13, 2025, following which Mr. Aji intends to retire from the Company. Mr. Aji’s date of retirement from the Company has not yet been determined.
