Other Events.

On October 13, 2025, Brookfield and Oaktree issued a press release announcing a proposed transaction as described in the press release (the “Proposed Transaction”). The terms of the Proposed Transaction will not affect the terms of the outstanding 6.625% Series A preferred units and 6.550% Series B preferred units of Brookfield Oaktree Holdings, LLC. A copy of that press release is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
