Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 16, 2025, Vishal Sheth, Chief Financial Officer of Diameter Credit Company (the “Company”), notified the Board of Trustees (the “Board”) of his intention to retire and step down from his position as Chief Financial Officer. Mr. Sheth’s final date of service has not yet been determined, and he and the Company are working together to ensure a smooth and orderly transition of his responsibilities.

Mr. Sheth’s decision to step down is not the result of any disagreement with the Company, its investment adviser, or any of their affiliates regarding their operations, policies, or practices.
