Item 8.01. Other Events.

The Board of Directors of Civista Bancshares, Inc., Sandusky, Ohio has approved a quarterly dividend of 17 cents per common share, consistent with the prior quarter, to shareholders of record date November 4, 2025, payable date November 18, 2025. A copy of the press release is attached hereto as Exhibit 99.1.
