Results of Operations and Financial Condition.

On November 6, 2025, Morgan Stanley Direct Lending Fund (the “Company”) issued a press release announcing its financial results for the third quarter ended September 30, 2025. The text of the press release is included as Exhibit 99.1 to this Form 8-K.

Regulation FD Disclosure.

On November 4, 2025, the Board of Directors of the Company declared a regular distribution to stockholders in the amount of $0.50 per share. The distribution will be payable on or around January 23, 2026 to stockholders of record as of December 31, 2025.
