Item 8.01 Other Events.

On November 12, 2025, the Board of Directors of Kohl's Corporation declared a quarterly cash dividend of $0.125 per share. The dividend will be payable on December 24, 2025, to all shareholders of record at the close of business on December 10, 2025. A copy of the press release announcing the dividend is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
