Item 8.01	Other Events.

On November 24, 2025, Ceribell, Inc. (“Ceribell”) issued a press release announcing that the U.S. Food and Drug Administration (“FDA”) granted 510(k) clearance for Ceribell’s ClarityⓇ algorithm for detecting electrographic seizures in newborns preterm and older.

A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
