Item 1.01 – Entry into a Material Definitive Agreement.

On ~~September~~December 171, 2025, AB CRE PDF TNVA1 LLC (“TNVA1”), a wholly owned subsidiary of AB Commercial Real Estate Private Debt Fund, LLC (the “Fund”), entered into an amendment (the “Amendment”) to the ~~master~~Loan ~~repurchase~~ and ~~securities~~Security ~~contract~~Agreement ~~agreement~~ (~~as amended,~~ the “HSBC Loan and Security Agreement”), by and among ~~Morgan Stanley Mortgage Capital Holdings LLC~~TNVA1, as ~~the~~borrower, ~~administrative~~HSBC ~~agent~~Bank USA, ~~Morgan~~National ~~Stanley~~Association ~~Bank~~(“HSBC”), ~~N.A.,~~ as ~~the~~administrative ~~buyer,~~agent ABfor ~~CRE~~itself ~~PDF~~and ~~Member~~the Iother ~~LLC,~~lenders assignatory ~~seller~~thereto, and the ~~Fund,~~lenders assignatory thereto (the ~~guarantor~~“Lenders”).

The Amendment, ~~increased~~among other changes, (i) extends the ~~master~~initial ~~repurchase~~maturity ~~facility~~date ~~size~~of ~~from~~borrowings under the HSBC Loan and Security Agreement to November 9, 2027 and (ii) provides for an additional loan under the HSBC Loan and Security Agreement of $~~400~~55,~~000~~462,~~000~~500.00 (the “Additional Loan”), increasing the aggregate total borrowings under the HSBC Loan and Security Agreement to $~~500~~147,~~000~~712,~~000~~500.00 (the “HSBC TNVA1 Loan”). The ~~foregoing~~Additional ~~description~~Loan ofbears ~~the~~interest ~~Amendment~~at ~~does~~Term ~~not~~SOFR ~~purport~~plus toa bemargin ~~complete~~of 1.80%, and it is ~~qualified~~secured by a first priority security interest in ~~its~~a ~~entirety~~mortgage byloan ~~reference~~of the Fund that was collaterally assigned to the ~~full~~Lenders ~~text~~in ofconnection with the Amendment. ~~attached~~The ~~hereto~~Amendment asalso ~~Exhibit~~introduced 10new customary covenants and events of default with respect to the Additional Loan.1.

In connection with the Amendment, the Fund reinstated and modified its obligations to guarantee the payment of the HSBC TNVA1 Loan in an amount equal to the lesser of (i) 25% of the outstanding principal balance of the HSBC TNVA1 Loan and (ii) $36,928,125.00.
