Item 2.02 Results of Operations and Financial Condition

On January 26, 2026, the Registrant issued a press release announcing the results for the quarter ended December 31, 2025.

A copy of the Company’s press release with respect to the results for the quarter ended December 31, 2025 is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 2.02. The Registrant also announced in the press release that it will host a conference call for investors and analysts on Tuesday, January 27, 2026 at 10 a.m. (Eastern Time) to discuss fourth quarter results.
