Item 8.01

Other Events.

On March 4, 2026, Tyra Biosciences, Inc. (the “Company”) agreed to issue and sell 4,000,000 shares of common stock to a large investment management firm at a purchase price of $31.50 per share. The Company expects to receive $126.0 million in gross proceeds upon settlement, before deducting fees and other expenses payable by it.

The shares of common stock are being issued as a block transaction under the Company’s “at-the-market” offering program, which has been registered under the Securities Act of 1933 pursuant to a registration statement on Form S-3 (File No. 333-287086) filed with the Securities and Exchange Commission on May 8, 2025. The terms of the Company’s “at-the-market” offering program are described in the sales agreement prospectus, dated May 16, 2025.
