FLUSHING FINANCIAL CORP 8-K

What Happened

• Flushing Financial Corp (FFIC) filed an 8-K reporting the closing of the mergers described in the Merger Agreement dated December 29, 2025. The Closing Date/Effective Time occurred on or about June 1, 2026. As a result, Flushing common stock trading was suspended after the close of trading on June 1, 2026 and Flushing has requested withdrawal from Nasdaq listing. OceanFirst will be the successor to Flushing for purposes of the securities filings.
