Summary
REGENXBIO Inc. Settles Patent Litigation with Sarepta; $39M
What Happened REGENXBIO Inc. and The Trustees of the University of Pennsylvania entered into a Settlement Agreement with Sarepta Therapeutics, Inc., Sarepta Therapeutics Three, LLC and Catalent, Inc., effective September 23, 2026, resolving all litigation asserting U.S. Patent Nos. 10,526,617 and 11,680,274. Under the agreement, Sarepta will pay REGENXBIO $39.0 million within 10 days of the effective date, and the parties will terminate the ongoing patent suits with prejudice. The settlement includes releases and a covenant not to sue Sarepta for future claims related to any Sarepta gene therapy product that uses an AAVrh74-based capsid (including ELEVIDYS®) as to the Patents‑in‑Suit, U.S. Patent No. 9,198,984, and related patents/patent applications.
Key Details
- Sarepta to pay REGENXBIO $39.0 million within 10 days of the settlement’s effective date.
- All ongoing patent litigation concerning the identified patents will be terminated with prejudice.
- REGENXBIO and UPenn released current infringement claims and agreed not to sue Sarepta over future claims tied to AAVrh74-based capsids (including ELEVIDYS).
- REGENXBIO agreed not to sue Sarepta over Company patents/applications covering the existing form of ELEVIDYS or the AAVrh74-based capsid sequence; this limitation does not extend to patents covering other gene‑therapy aspects. The Company will file the Settlement Agreement as an exhibit to its Form 10‑Q for the quarter ending September 30, 2026.
Why It Matters For investors, the settlement provides an immediate, material cash inflow ($39.0M) and removes the uncertainty, cost and distraction of ongoing litigation over the specified patents and AAVrh74 capsid use by Sarepta and its partners. At the same time, the agreement limits REGENXBIO’s and UPenn’s ability to enforce those specific patents against Sarepta’s AAVrh74‑based products, which could reduce potential future licensing or enforcement value tied to those patents. Other REGENXBIO patents (outside the scope described) remain unaffected by this settlement.
