Summary
Grayscale Dogecoin Trust ETF (GDOG): amends participant agreements and adds custodian
What happened
- The filing states that Grayscale Investments Sponsors, LLC, as sponsor of Grayscale Dogecoin Trust ETF (the “Sponsor”), entered into amendments to its Participant Agreements with Macquarie Capital (USA) Inc. and Virtu Americas LLC to permit those entities to conduct creations and redemptions of Shares in-kind, in addition to the Trust’s existing cash-based process. The Form of Amendment to Participant Agreement is filed as Exhibit 10.1.
- The Sponsor filed supplemental disclosures and stated it intends to cause the Trust to create and redeem Shares as described in Exhibit 99.1, which “supersedes and supplements” prior offering document disclosure regarding creation and redemption of Shares.
- On Sep 29, 2026, the Sponsor entered into the Sixth Amendment to the Master Custody Service Agreement with Anchorage Digital Bank N.A., dated Aug 8, 2025, under which Anchorage Digital became an additional custodian to provide custody and safekeeping services for a portion of the Trust’s DOGE holdings. The Trust’s custody arrangement with Coinbase Custody Trust Company, LLC remains in place and Coinbase remains the Trust’s primary custodian.
Key details
- Amendments permit Macquarie Capital (USA) Inc. and Virtu Americas LLC to conduct creations and redemptions in-kind as well as in cash; the Sponsor may engage additional authorized participants that can operate in-kind, in cash, or both.
- The Sponsor filed Exhibit 99.1 to describe the in-kind creation and redemption process and stated this disclosure supersedes the corresponding offering document text.
- Under the Anchorage Digital Custodian Agreement, Anchorage Digital will store private keys (hardware security module located in the United States), may suspend services or choose whether to support branches in the event of a Dogecoin fork, and is required to maintain insurance with limits of not less than $100,000,000 in the aggregate; fees to the Additional Custodian are Sponsor-paid expenses.
- The Sponsor has not determined the total amount of the Trust’s DOGE that will be moved to Anchorage Digital and will decide amounts held at each custodian in its sole discretion.
Why it may matter
- Item reported: Item 1.01 (entry into a material definitive agreement). The filing covers amendments to participant agreements to add an in-kind creation and redemption option and the addition of Anchorage Digital Bank N.A. as an additional custodian for a portion of the Trust’s DOGE holdings. A filing does not show why the insider traded or why the company acted.
