- [F1]This Form 4 is filed jointly by Glacier Peak U.S. Value Fund, L.P. (the "Fund"), Glacier Peak Capital LLC ("GPC"), and John C. Rudolf (collectively, the "Reporting Persons"). Each Reporting Person is a member of a reporting group that owns in the aggregate more than 10% of the Issuer's outstanding shares of Common Stock. As such, each Reporting Person may be deemed to beneficially own more than 10% of the Issuer's outstanding shares of Common Stock.
- [F2]Each Reporting Person disclaims beneficial ownership of the shares of Common Stock reported herein except to the extent of his or its pecuniary interest therein, and this report shall not be deemed to be an admission that any Reporting Person is the beneficial owner of such shares of Common Stock for purposes of Section 16 or for any other purpose.
- [F3]On March 6, 2018, GPC merged with Fortis Capital Management LLC ("Fortis"), with GPC surviving the merger (the "Merger"). Fortis previously served as investment manager to a separately managed account that beneficially owned the reported shares. Upon consummation of the Merger, GPC is now deemed to beneficially own the reported shares.
- [F4]Mr. Rudolf directly owns 323,029 Shares of Common Stock, may be deemed to beneficially own 36,675 fully vested stock options which are not included in Table I, may be deemed to beneficially own 55,605 Shares of Common Stock that are held in an IRA account that he controls, may be deemed to beneficially own 30,000 Shares of Common Stock that are held in an account he controls for the benefit of his wife, and may be deemed to beneficially own 151,317 Shares of Common Stock held in various accounts he controls for the benefit of other family members.
- [F5]Shares of Common Stock beneficially owned by the Fund. GPC, as the general partner of the Fund, may be deemed to be the beneficial owner of the shares of Common Stock beneficially owned by the Fund. Mr Rudolf may be deemed to be the beneficial owner of the shares of Common Stock beneficially owned by the Fund by virtue of having sole voting and dispositive power over the shares.
