Explanation of Responses:

(1) The stock option contains a provision allowing for the withholding of stock to satisfy the Optionee's tax obligation upon exercise.
(2) Stock option was granted on 11/21/02, has a 10 year term, and vests as to 20% of the option grant on the first five anniversary dates of November 21. Accordingly, on 11/21/03, the initial 2,000 stock option shares will vest.
(3) Exercise price and number of shares adjusted to reflect the effects of a 9% common stock dividend paid September 29, 2000, an 11% common stock dividend paid March 23, 2001 and a 3-for-2 common stock split paid April 9, 2002.
(4) The stock option vested with respect to 1,815 shares on July 28 of each year from 1998 through 2002. Accordingly, all of the 1,815 stock option shares have vested.
