("TCM IV") which is the sole general partner of TCV IV, L.P. Hoag, Kimball and TCM IV may be deemed to beneficially own shares held by TCV IV, L.P., but Hoag, Kimball and TCM IV disclaim beneficial ownership of such shares except to the extent of their pecuniary interests therein.

  • [F3]As of April 27, 2010, the effective time of the merger contemplated by the Agreement and Plan of Merger, dated March 22, 2010, among Techwell, Inc. ("Techwell"), Intersil Corporation and Navajo Merger Sub, Inc., all options to purchase common stock of Techwell held by Kimball were fully vested and exercisable. These options were canceled in the merger in exchange for a cash payment representing the difference between the exercise price of the option and the market value of the underlying Techwell common stock on the effective date of the Merger ($18.50 per share).
  • [F4]Kimball had the sole voting and dispositive power over the options he held directly; however, TCMI, Inc. has a right to 100% of the pecuniary interest in such options. Kimball is a stockholder and director of TCMI, Inc., but Kimball disclaims beneficial ownership of such options or the shares to be received upon the exercise of such options execpt to the extent of his pecuniary interest therein.
