- [F3]The Company maintains a nonqualified deferred compensation plan that provides several investment alternatives. One of these investment alternatives permits plan participants, including participants who are Section 16 officers and directors, to elect an investment of participant contributions in Company stock. The Company has eliminated the Company stock investment alternative under the deferred compensation plan. This action by the Company will result in the sale of the shares of Company stock previously purchased with participant contributions and transfer of the proceeds into another non-Company stock investment alternative. This transfer is required in order to accomplish the elimination of the Company stock investment alternative and is not a discretionary transaction. The transfer constitutes a conversion that is exempt under Rule 16b-3.
