Simultaneous with the Merger, the Issuer changed its name from "Switch and Data, Inc." to "Switch & Data Facilities Company, Inc." The Merger became effective on February 13, 2007. The Reporting Person's acquisition of the Issuer's common stock was exempt from Section 16(b) under Rule 16b-7 and other SEC Rules. The initial public offering price of the Issuer's common stock was $17.00.
