(the "Predecessor") in connection with the merger (the "Merger") of the Predecessor with and into the Issuer. Simultaneous with the Merger, the Issuer changed its name from "Switch and Data, Inc." to "Switch & Data Facilities Company, Inc." The Merger became effective on February 13, 2007. The Reporting Person's acquisition of the Issuer's common stock was exempt from Section 16(b) under Rule 16b-7 and other SEC Rules. The initial public offering price of the Issuer's common stock was $17.00.
