At the effective time of the Merger, each stock option of the Issuer held by the Reporting Person immediately prior to the effective time of the Merger was assumed by Liberty Media and converted into an option exercisable for 0.1147 of a share of Liberty Media's Series A Common Stock for each share of Class A Common Stock of the Issuer for which such stock option was exercisable.
- [F2]Twenty-five percent (25%) of the option became exercisable on August 19, 2004, the next 25% becomes exercisable on August 19, 2005, the next 25% becomes exercisable on August 19, 2006 and the final 25% becomes exercisable on August 19, 2007.
