("ABP") distributed its 850,530 shares of common stock to its general and limited partners on 11/3/03. Alta Partners ("AP")directly and indirectly provides investment advisory services to various venture capital funds, including ABP. AP is NOT a 10% Owner. The GP of ABP exercises sole voting and investment power with respect to the shares held by the fund. The principals of AP are Jean Deleage, Garrett Gruener, Daniel Janney, and Alix Marduel (collectively known as the "principals"). Certain principals are managing directors of Alta BioPharma Mgmt.,LLC (the GP of ABP), as managing directors they may be deemed to share voting and investment powers of the shares held by the fund. These principals disclaim beneficial ownership, except to the extent of their proportionate interests therein. Dr.Marduel received 3,115 shares of common stock in the distribution.
- [F2]Alix Marduel resigned as a Director of Dyax Corp on 9/30/03. Dyax Chase Partners (Alta Bio),LLC ("Chase") distributed its 474,312 shares of common stock to its members on 11/3/03. Alta Partners("AP") directly or indirectly provides investment advisory services to various venture capital funds, including Chase. AP is NOT a 10% Owner. The managing member of Chase exercises sole voting and investment power with respect to the shares held by the fund. The principals of AP are Jean Deleage,Guy Nohra,Garrett Gruener,Daniel Janney and Alix Marduel (collectively known as the "principals"). Certain principals of AP are members of Alta/Chase BioPharma Mgmt., LLC (the managing member of Chase), as members they may be deemed to share voting and investment powers of the shares held by the fund. These principals disclaim beneficial ownership of all such shares, except to the extent of their proportionate interests therein. Dr.Marduel received 2,787 shares of common stock in the distribution.

The members of Alta Emb exercise sole voting and investment power with respect to the shares held by the fund. In the 11/3/03 Stock Distribution she received 3,115 shares of common stock from Alta BioPharma Management Partners,LLC and 2,787 shares of Common Stock from Alta/Chase BioPharma Management,LLC. She is a managing director of Alta BioPharma Mgmt. (which is the GP of Alta BioPharma Partners, L.P.("ABP"), and a managing director of Alta/Chase Management Partners LLC (which is the managing member of Dyax Chase Partners (Alta Bio),LLC ("Chase"). Thus she shared voting and dispositive powers over the shares beneficially owned by ABP,and the shares previously owned by Chase. As a managing director she may be deemed to share voting and investment powers with respect to the foregoing funds. Dr. Marduel disclaims beneficial ownership of all such funds, except to the extent of her proportionate pecuniniary interest therein.
