The Pre-Fund had previously distributed 474,286 shares of common stock to the MB Group. The MB Group acts as administrative member of the Pre-Fund.
- [F2]Represents shares directly owned by the Bear Stearns MB Pre-Fund, LLC (the "Pre-Fund"). As a principal of Bear Stearns Merchant Banking, Ms. Arlander has an indirect ownership interest in shares owned by the Pre-Fund, which is a limited liability company formed to make investments on behalf of Bear Stearns Merchant Banking.
