In the event, Charles R. Jones voluntarily resigns his employment with the Company or is terminated by the Company for cause prior to April 30, 2009, all of the deferred shares shall be forfeited immediately. If on or after April 30, 2007, Charles R. Jones' employment with the Company is terminated for any reason other than by his resignation or by the Company for cause, all of the deferred shares shall vest.
