Hambrecht+Co., LLC ("WRH+Co") and has shared voting and dispository power over the (x) 710,000 shares of Issuer's Common Stock, (y) 65 Shares of Series C Preferred Stock and (z) 550,000 shares of the Issuer's Common Stock issuable upon exercise of the Warrant ("Warrant Shares"), beneficially owned (for purposes of Section 16) by WRH+Co. Hambrecht+Co., Inc., in each case representing his proportionate ownership interest.
