A portion of the proceeds from the sale will be used to pay off Mr. Watson's outstanding loan to the Company in connection with the Company's Senior Executive Stock Loan Plan, which permitted the Company to extend loans to program participants for the purchase of shares of the Company's common stock on the open market pursuant to the terms of the plan documents.
