- [F2]Prior to December 10, 2003, capital contributions of CTI common stock to the LLC (as defined in footnote 5), in exchange for membership interests in the LLC, were made by the reporting person (2,200,000 shares), the GRAT (900,000 shares) and the Revocable Trust (1,850,000 shares). These transactions were not reported on a Form 4 because they resulted only in a change in form of beneficial ownership. After these transactions, the reporting person's beneficial ownership of CTI stock was as follows: 876,506 shares owned directly; 453,294 shares owned indirectly through the GRAT; 932,010 shares owned indirectly through the Revocable Trust; and 4,950,000 shares owned indirectly through the LLC.
