EMC was the surviving entity of such merger and EMC's shareholders, as existing prior to the merger, received a total of 8,000,000 shares of the Company's common stock in consideration of the merger. Jay 3 Corp., as a shareholder of EMC, received the 1,368,000 shares of the Company's common stock as a result of the transaction.
