(the "Company") consummated a merger of its wholly-owned subsidiary, New Jersey Merger Sub, Inc. with and into EMC Packaging, Inc. ("EMC"). EMC was the surviving entity of such merger and EMC's shareholders, as existing prior to the merger, received a total of 8,000,000 shares of the Company's common stock in consideration of the merger. Jay 3 Corp., as a shareholder of EMC, received the 1,368,000 shares of the Company's common stock as a result of the transaction.
