("GP IX"), and First Reserve Fund IX, L.P.) ("Fund IX"), each as 10% beneficial owners (collectively the "Fund Entities"), and by William E. Macaulay, as a director of the Issuer.
- [F4]Each of the Fund Entities are entitled to share in the profits from the sale of securities granted to Mr. Macaulay and/or the exercise of any options granted to Mr. Macaulay, and therefore the Fund Entities share beneficial ownership of the securities and options granted to Mr. Macaulay. Mr. Macaulay disclaims any beneficial ownership of securities of the Issuer held by the Fund Entities.
