In prior reports, Reporting Person reported indirect beneficial ownership of the 250,000 shares held by Lightrays. Reporting Person disclaimed beneficial ownership by virtue of the fact that he was Manager of Xyster, LLC, which was the General Partner of Lightrays. At the time of liquidation of Lightrays, Reporting Person received 179,070 shares of Issuer at a value of $6.00 per share as a liquidating distribution in proportion to his ownership interest in Lightrays.
