- [F1]Award of restricted stock which vests upon the occurrence of a change of control (as defined), provided that reporting person remains employed for the nine-month period following completion of any such change of control. Reporting person is not be eligible for accelerated vesting of the restricted stock if employment is terminated prior to completion of such nine-month period: (i) for cause (as defined); or (ii) by reporting person other than for good reason (as defined). If reporting person's employment is terminated prior to or during such nine-month period without cause, or by reporting person for good reason, reporting person's restricted stock will fully vest immediately. The restricted stock will also vest immediately upon reporting person's death or disability.
