- [F1]That certain forward sale agreement dated March 1, 2000 between ZG Nevada Limited Partnership and CSFB SAILS Corp. ("March Agreement") matured on March 1, 2003. On March 1, 2003, pursuant to the terms of the March Agreement and the Pledge Agreement dated March 1, 2000 between the same parties ("March Pledge Agreement"), 750,000 shares of Issuer Common Stock were released from the March Pledge Agreement and delivered to CSFB SAILS Corp. A Form 5 has not been filed for this transaction, thus the Reporting Persons are making a late Form 5 filing in connection herewith.
- [F2]That certain forward sale agreement dated June 23, 2000 between ZG Nevada Limited Partnership and CSFB SAILS Corp. ("June Agreement") matured on June 23, 2004. On June 23, 2004, pursuant to the terms of the June Agreement and the Pledge Agreement dated June 23, 2000 between the same parties ("June Pledge Agreement"), 475,000 shares of Issuer Common Stock were released from the June Pledge Agreement and delivered to CSFB SAILS Corp.
- [F3]That certain forward sale agreement dated September 8, 2000 between ZG Nevada Limited Partnership and CSFB SAILS Corp. ("September Agreement") matured on September 8, 2004. On September 8, 2004, pursuant to the terms of the September Agreement and the Pledge Agreement dated September 8, 2000 between the same parties ("September Pledge Agreement"), 1,325,000 shares of Issuer Common Stock were released from the September Pledge Agreement and delivered to CSFB SAILS Corp.
- [F4]That certain forward sale agreement dated December 8, 1999 between Bryan J. Zwan and CSFB SAILS Corp. ("December Agreement") matured on December 8, 2004. On December 8, 2004, pursuant to the terms of the December Agreement and the Pledge Agreement dated December 8, 1999 between the same parties ("December Pledge Agreement"), 1,000,000 shares of Issuer Common Stock were released from the December Pledge Agreement and delivered to CSFB SAILS Corp. It should be noted that on December 29, 2000, Bryan J. Zwan assigned his rights and obligations in the December Agreement and December Pledge Agreement to ZG Nevada Limited Partnership.
