Under the Director Plan, non-employee, non-officer directors received an annual retainer fee in the form of shares of Class A Common Stock valued at the date the Reporting Person was re-elected to the Board with such shares issued following the next annual meeting of shareholders provided that the Reporting Person has remained a director during such time.
