- [F1]The option fully vests upon the first to occur of (1) the average of Issuer's stock price for 5 consecutive trading days equals or exceeds a pre-determined level ("Milestone Price"), (2) Issuer's stock price equals or exceeds the Milestone Price on the final trading day before a change in control, (3) the total consideration payable to Issuer's stockholders in a change of control in exchange for 1 share of Issuer's Common Stock, calculated on the date of execution of a definitive agreement relating to the change in control equals or exceeds the Milestone Price, or (4) the total consideration actually received by Issuer's stockholders in a change in control for one share of Issuer's Common Stock, calculated as of the closing of the change in control, equals or exceeds the Milestone Price. The stock price shall be determined by the last reported sale price of Issuer's Common Stock on an exchange. The option terminates immediately prior to a change in control if the option has not vested.
