The units are to be settled in cash commencing upon the reporting person's termination of service as a director, as provided for in the plan. Dividend Equivalent Rights provide for additional units to be credited quarterly based on cash dividends by the Company. Additional Units were credited on quarterly dividend payment dates. The rights become exercisable proportionately with the phantom stock units to which they relate.
