The restricted stock will vest on the fifth anniversary of issuance unless certain performance goals are achieved prior to the fifth anniversary. If the Compensation Committee determines that the performance goals have been met, the restricted stock will vest at that time. The named person will have voting and dividend rights with respect to the unvested shares of restricted stock.
