- [F1]As reported on a Form 4 filed by the reporting person on December 22, 2005, the terms of the Secured Promissory Note originally purchased by the reporting person on April 6, 2005 were amended on December 21, 2005 to provide for conversion of the note (and interest accured theron) into shares of the Company's common stock at a conversion price of $0.0276 at the option of the holder. As authorized and approved by the Company's Board of Directors the note and all interest accrued thereon was repaid by the Company in full and the note was cancelled as of January 5, 2006.
