Ms. Maguire is deemed to have a pecuniary interest in the shares owned by the trust for the purposes of Section 16 under the Securities Exchange Act of 1934, as amended, because Ms. Forman is a member of Ms. Maguire's immediate family and a beneficiary of the trust.
- [F2]Of these shares: 1,303,503 shares are held by a trust of which Frances M. Maguire is the trustee, and her husband, James J. Maguire, the Chairman of the issuer is the beneficiary; 1,424,240 shares are held in family trusts of which Ms. Maguire is co-trustee; and 774,798 shares are owned by the Maguire Foundation, of which Ms. Maguire is co-director with her husband. Ms. Maguire disclaims beneficial ownership of these 3,502,541 shares, and the filing of this report is not an admission that she is beneficial owner of these shares for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
