Total of 48,098 shares of restricted stock will vest on December 31, 2007, so long as the reporting person is continually employed by Midwest Banc Holdings, Inc. The remaining 10,833 shares of restricted stock will vest on July 1, 2010 unless certain performance goals are achieved prior to that date. If the Compensation Committee determines that the performance goals have been met, the restricted stock will vest at that time. The reporting person will have voting and dividend rights with respect to the unvested shares of restricted stock.
