  • [F1]The reported transactions involving the issuer's Series AA Senior Cumulative Convertible Preferred Stock (the "Series AA Preferred") relate to an amendment to the conversion price of the Series AA Preferred pursuant to (i) an Exchange and Extension Agreement (the "Extension Agreement") between the issuer and Crown EMAK Partners, LLC ("Crown Partners"), and (ii) an amendment of the Certificate of Designation of the Series AA Preferred, each dated June 30, 2006. This amendment to the conversion price resulted in the deemed cancellation of the "old" Series AA Preferred shares held by the Reporting Person and the grant to the Reporting Person of replacement Series AA Preferred shares. The cancelled Series AA Preferred Shares were originally issued on December 30, 2004.
