- [F1]Explanation of Responses: (1) On August 29, 2006, Gold Acquisition Corp. ("Purchaser") was merged with and into GTECH Holdings Corp. ("GTECH" and such merger, the "Merger"), pursuant to which each outstanding share of GTECH common stock, par value $0.01 per share (the "Shares"), was converted into the right to receive $35.00 per Share in cash. As a result of the Merger, GTECH became a direct wholly-owned subsidiary of Gold Holding Co., and an indirect wholly-owned subsidiary of Lottomatica S.p.A. GTECH will file a Form 15 to terminate registration of the Shares under the Securities Exchange Act of 1934.
