(TTI) common stock in connection with the acquisition by the Issuer of the minority interest in TTI. The number of shares and exercise price have been adjusted to reflect a 2-for-1 split of Issuer common stock effective 11/21/2005 (the "Stock Split").
- [F2]Option vests and becomes exercisable in three installments: 114,000 shares on 8/28/2005, 190,000 shares on 8/28/2006 and 190,000 shares on 8/28/2007.
- [F3]Pursuant to the terms of the TTI stock option plan under which the TTI Option was granted, the exercise price equaled the par value per share of TTI common stock, reflecting a discount from the fair market value of TTI common stock on the TTI Option grant date. The Issuer has amended that portion of the option vesting in 2006 to reflect the estimated fair market value per share of TTI common stock on the TTI Option grant date, as adjusted by the exchange ratio applicable in the Issuer's acquisition of the TTI minority interest and the subsequent Stock Split.
