Subject to continued employment, twenty-five percent (25%) of the restricted stock units will automatically vest each year over the next four (4) years immediately upon the anniversary of the grant date (i.e., 25% of the units shall automatically vest on each of January 2, 2008, January 2, 2009, January 2, 2010 and January 2, 2011). The units will vest earlier, in full, upon a change of control occurring anytime after January 2, 2008, or, on a pro rata basis upon the participant?s death, disability, termination without cause or retirement.
