- [F1]Fairford Holdings Limited ("Fairford") secured the issuance of a letter of credit (the "Letter of Credit") from SEB to National City Bank, a national banking association ("National City Bank"), with which the issuer entered into the Loan Agreement, dated as of December 22, 2006, related to the $2.6 million acquisition loan (the "Acquisition Loan") and $8.0 million revolving loan extended by the National City Bank to the issuer. Due to National City Bank?s receipt of the Letter of Credit, the issuer was able to obtain the Acquisition Loan at a favorable cash-backed interest rate and, in consideration for securing the issuance of the Letter of Credit, Fairford was issued the Class A Common Stock Purchase Warrant.
- [F2]Mr. Osseiran is director of Fairford Holdings Limited. Salah N. Osseiran Trust, a revocable trust, of which Mr. Osseiran is the grantor and sole beneficiary, is the sole stockholder of Fairford Holdings Limited.
