This report is being filed to report the acquisition of beneficial ownership of a 0.37% membership interest in the Company by Westech Investment Advisors, Inc. ("Westech"). The reporting person is a 50% shareholder, officer and director of Westech.

Except to the extent of his pecuniary interest in Westech and the Company, the reporting person disclaims beneficial ownership of the reported securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act").
