Each RSU represents the right to receive one share of Common Stock subject to terms of governing RSU Agreement. Subject to certain conditions, one-third of the RSUs will vest and be issued on the first anniversary of the grant date, one-third of the RSUs will vest and be issued on the second anniversary of the grant date, and one-third of the RSUs will vest and be issued on the third anniversary of the grant date.
