- [F1]On June 15, 2007, Nextera exchanged $1,011,315.07 in outstanding principal and accrued interest owed to Jocott pursuant to a promissory note for 10,113 shares of Nextera's Series B Cumulative Non-Convertible Preferred Stock, together with a cash payment in lieu of fractional shares.
- [F2]Jocott owns 10,113 shares of Nextera's Series B Cumulative Non-Convertible Preferred Stock. All of the shares in Jocott are owned by The Millin Family Living Trust and The Scott and Debra Weiss Living Trust. Mr. Millin is a director of Jocott, as well as a trustee and beneficiary, together with his spouse, of The Millin Family Living Trust. Mr. Weiss also is a director of Jocott, as well as a trustee and beneficiary, together with his spouse, of The Scott and Debra Weiss Living Trust. Messrs. Millin and Weiss disclaim all beneficial ownership of the shares held by Jocott, as do The Millin Family Living Trust and The Scott and Debra Weiss Living Trust, except to the extent of their respective pecuniary interests therein.

- [F4]On June 15, 2007, Nextera issued to Jocott a Class A Common Stock Purchase Warrant to purchase 2,022,630 shares of Nextera's Class A Common Stock pursuant to the terms of a Funding Agreement entered into as of April 16, 2007 by and among Nextera, Jocott, Mounte LLC, and Woodridge Labs, Inc. The warrant is exercisable at any time at the option of the holder, has a ten-year term, and has customary piggyback registration rights and anti-dilution rights with respect to specified events.
