- [F1]On July 26, 2007, in connection with the execution of a new employment agreement, Mr. Dienst received a restricted stock grant of 196,532 shares of common stock, of which 117,920 shares vest on July 26, 2010 and 39,306 shares vest on each of July 26, 2011 and July 26, 2012, unless earlier vesting occurs under the terms of such employment agreement. In connection with such grant, Mr. Dienst agreed to waive the provision of the plan under which such grant was made that provided that such shares would become non-forfeitable solely upon a change of control.
