- [F1]June 19, 2008 was the "payout date" for a total of 6,352 vested deferred stock units (DSUs) granted to Mr. Davenport in 2006 under our Employee DSU Program. The vesting of these DSUs was previously reported in a Form 4 filed on February 23, 2007, as amended on April 25, 2007. This Form 4 is being filed to report the Company's withholding of 2,229 shares to cover taxes resulting from the issuance of the shares underlying the DSUs on the "payout date." Mr. Davenport elected to have the net number of shares (after taxes) issued in the name of the trust identified below in footnote (2).
