- [F1]In accordance with the Company's existing director compensation plan, the Board authorized and approved a grant to Mr. Lewis on September 25, 2008 (Mr. Lewis' board appointment anniversary date) of an option to purchase 12,000 shares of common stock of the Company under the Company's 2007 Equity Incentive Plan. The option agreement related to such grant shall be in the standard form previously approved by the Board's Compensation Committee.
