Heil, Jr., Sandra Heil and Karen Heil Irrevocable Trust Agreement #2, Dated December 1, 1983, purchased, via a broker, an aggregate of 1,911,890 shares of common stock in Nestor, Inc. In separate transactions, the Trust for Sandra E.H. Bauer under the Edward F. Heil, Jr., Sandra Heil and Karen Heil Irrevocable Trust Agreement #2, Dated December 1, 1983, purchased, via a broker, an aggregate of 1,911,890 shares of common stock in Nestor, Inc. In separate transactions, the Trust for Edward F. Heil, Jr. under the Edward F. Heil has been delegated the power to direct the Trustee to vote and to dispose of securities held by these three trusts, and may be deemed the beneficial owner, for securities law purposes, of the shares of common stock in Nestor, Inc. held by these three trusts. Any such beneficial ownership is expressly disclaimed.
- [F6]Explanation of Responses: There is no price of security on a per share basis available for the 118,778 warrants. Edward F. Heil entered into a Securities Purchase Agreement dated January 31, 2006, with Nestor, Inc. (the Securities Purchase Agreement is filed as an exhibit to Nestor, Inc.'s Form 10-K filed with the Securities and Exchange Commission on April 14, 2006), pursuant to which Mr. Heil invested $1,750,000 to purchase 395,927 shares of Common Stock in Nestor, Inc. ($4.42 per share). Pursuant to the Securities Purchase Agreement, warrants were issuable upon a purchase of shares equal to 30% of the number of shares purchased. As Mr. Heil purchased 395,927 shares of Common Stock in Nestor, Inc. pursuant to the Securities Purchase Agreement, he obtained 118,778 warrants (395,927 multplied by 30%).
