These restricted shares are subject to forfeiture restrictions based on the Reporting Person's remaining an employee of the Issuer. If the Reporting Person remains an employee of the Issuer for less than one year, the forfeiture restrictions do not lapse with respect to any of the shares. After one year's service, the forfieture restrictions lapse with respect to 15% of the shares, 30% after 2 years, 45% after 3 years, 60% after 4 years and 100% after 5 or more years.
